These Terms & Conditions (“Terms”) apply to your access to and use of the website petrobirch.kz and any related pages (collectively, the “Site”) operated by LLP “PETRO BIRCH”, BIN 230140001840, registered at 7/1 Vokzalnaya Street, 090000 Uralsk, Republic of Kazakhstan (“Petro Birch”, “we”, “us”, “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Site.

These Terms govern use of the website only. Purchase and supply of goods are governed by separate contracts, purchase orders and Petro Birch General Terms of Sale.

1. Eligibility and Use of the Site
1.1. You may use the Site only for legitimate business purposes related to evaluating or purchasing our products and services and only in accordance with applicable law.
1.2. You agree not to:
a) use the Site in any way that violates applicable law or the rights of others;
b) attempt to gain unauthorised access to any part of the Site, our servers or networks;
c) introduce viruses, malware, bots, automated scraping tools or any other harmful code;
d) interfere with or disrupt the normal operation of the Site;
e) use the Site to send unsolicited advertising, spam or bulk messages.
1.3. We may suspend, restrict or terminate access to the Site at any time, without prior notice, if we reasonably believe that you are in breach of these Terms or if this is necessary to protect the security and integrity of our systems.

2. Product Information
2.1. The Site may contain information about birch plywood products and related services offered by Petro Birch, including but not limited to Regular Exterior plywood, Regular Interior plywood, film faced plywood and furniture parts (“Products”).
2.2. All descriptions of Products, technical characteristics, dimensions, tolerance classes, grades, weights, images and other information on the Site are provided for general information only and do not form part of any contract unless expressly agreed in writing.
2.3. Samples, colour charts, images, renders or 3D visualisations of Products are illustrative only. Actual colour, texture, veneer pattern or other characteristics may differ due to natural variations in wood, manufacturing tolerances and display settings.
2.4. Product availability, minimum order quantities, lead times, packaging options and markets served may change over time and are subject to written confirmation by Petro Birch.

3. Enquiries, Quotations and Orders
3.1. Forms and tools on the Site, including “Get a quote”, “Request a call”, “Send drawing” or similar, are intended solely to facilitate enquiries. Submitting such an enquiry does not in itself create a binding contract or obligation for Petro Birch to supply any Product.
3.2. A binding contract for the sale of Products is formed only when all of the following have occurred:
a) Petro Birch issues a written quotation, pro forma invoice or other offer; and
b) you accept that offer in writing or by issuing a purchase order; and
c) Petro Birch confirms the order in writing (email is sufficient).
3.3. All sales of Products are subject to Petro Birch’s General Terms of Sale and any specific contract agreed with you. In case of conflict between the Site and such terms or contract, the latter shall prevail.

4. Intellectual Property
4.1. Unless otherwise indicated, all content on the Site — including text, graphics, logos, icons, photographs, drawings, 3D renders, video, layout and software — is owned by Petro Birch or our licensors and is protected by copyright, trademark and other intellectual property laws.
4.2. You may view, download and print reasonable portions of the Site for internal business purposes only, provided that you:
a) do not remove any copyright or proprietary notices;
b) do not modify the content; and
c) do not use the content in a way that competes with Petro Birch or misleads others about your relationship with us.
4.3. Except as expressly permitted above, you may not reproduce, distribute, publicly display, translate, reverse engineer, commercialise or otherwise use any content from the Site without our prior written consent.

5. Submissions, Drawings and Files
5.1. You may submit drawings, specifications, models, cutting lists or other materials (“Submissions”) to us via the Site or by email as part of an enquiry.
5.2. You are responsible for ensuring that:
a) you have all necessary rights to share the Submissions;
b) the Submissions are accurate and complete;
c) the Submissions do not infringe any third party rights or contain confidential information of others;
d) electronic files are free from viruses or harmful code.
5.3. By sending Submissions, you grant Petro Birch a non exclusive, worldwide, royalty free licence to use, reproduce and adapt the Submissions as reasonably necessary to evaluate your enquiry, prepare quotations and perform any resulting contract.
5.4. We will process any personal data contained in Submissions in accordance with our Privacy Policy.

6. Privacy
6.1. We collect and process certain personal data when you use the Site, for example when you submit an enquiry or subscribe to updates.
6.2. Details of how we collect, use, protect and share personal data are set out in our separate Privacy Policy, which forms part of these Terms. By using the Site, you acknowledge that you have read and understood the Privacy Policy.

7. Third Party Websites
7.1. The Site may contain links to websites or services operated by third parties. These links are provided for convenience only.
7.2. Petro Birch does not control and is not responsible for the content, security, privacy practices or any other aspect of third party websites. The presence of a link does not imply endorsement or approval of the third party or its products.

8. Disclaimers
8.1. The Site and all content are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Petro Birch disclaims all warranties, express or implied, including but not limited to:
a) warranties of accuracy, completeness or reliability;
b) warranties of merchantability or fitness for a particular purpose;
c) warranties of non infringement;
d) any warranty that the Site will be uninterrupted, error free or secure.
8.2. Technical information and recommendations on the Site are general in nature and may not be suitable for every project or jurisdiction. You are responsible for verifying that the selected Product, grade, thickness and format are appropriate for your specific application, standards and regulations.

9. Limitation of Liability
9.1. To the fullest extent permitted by applicable law, Petro Birch, its affiliates, directors, employees and agents shall not be liable for any:
a) indirect, consequential, incidental, punitive or special damages;
b) loss of profit, revenue, contracts, business, goodwill, data or savings;
arising out of or in connection with your use of, or inability to use, the Site or any information on it.
9.2. To the extent Petro Birch is nevertheless found liable in connection with the Site, our total aggregate liability for all claims shall not exceed the equivalent of USD 100.
9.3. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under mandatory law.

10. Indemnity
You agree to indemnify and hold harmless Petro Birch, its affiliates, directors, employees and agents from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your:
a) breach of these Terms;
b) misuse of the Site; or
c) violation of any law or third party right.

11. Governing Law and Jurisdiction
11.1. These Terms, and any dispute or claim relating to them or your use of the Site, shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan, without giving effect to any conflict of law rules.
11.2. The courts of the Republic of Kazakhstan shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms or your use of the Site, without prejudice to any mandatory rights you may have under the laws of your country of residence within the European Union.

12. Changes to the Site and to these Terms
12.1. We may update, suspend or discontinue any part of the Site at any time, including the availability of any content or feature.
12.2. We may revise these Terms from time to time. When we do so, we will update the “Last updated” date at the top of this page. The revised Terms will apply from the date of publication. Your continued use of the Site after that date constitutes your acceptance of the revised Terms.
